1. Acceptance of Terms

2. Services Provided

apilabs.ai provides an AI RevOps platform designed to turn SaaS data into revenue decisions. The platform includes four core products:

• Metrics Intelligence: Unified SaaS analytics with real-time KPI tracking across marketing, sales, product, and finance.
• AI Chat Core: Natural language interface for querying business data from connected SaaS applications.
• AppTalk: Event-driven workflow automation that orchestrates actions across connected SaaS tools.
• API MCP Studio: AI-powered API and MCP (Model Context Protocol) testing and integration environment.

Additional features include Notebook (SQL, Pandas), Scheduler, Explorer, Vector DB & LLM Integration, and AI Agent Marketplace. Features may change at our discretion.

3. User Accounts

To access certain features, you must create an account. You agree to provide accurate and complete information, keep it up to date, and maintain the confidentiality of your credentials. You are responsible for all activities under your account, including any third-party SaaS integrations you configure.

4. Third-Party Integrations

Our Services connect to third-party platforms including but not limited to Stripe™, HubSpot™, Google Ads™, Google Drive™, Salesforce™, Shopify™, Slack™, and Snowflake™. By connecting these services, you authorize apilabs.ai to access and process data from those platforms as needed to deliver analytics, automation, and AI-powered insights. You are responsible for ensuring you have the right to share such data with our platform. apilabs.ai is not responsible for the availability, accuracy, or policies of third-party services.

5. Subscription and Fees

Access to the Services may require a subscription. Subscription fees, payment terms, and billing cycles will be detailed at the point of purchase. By subscribing, you agree to pay the fees as specified. We reserve the right to change subscription fees with reasonable notice.

6. Free Trials and Promotions

We may offer free trials or promotional offers at our discretion. Participants are subject to these Terms. We reserve the right to modify or terminate any free trial or promotion at any time without notice.

7. License and Use Restrictions

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, and revocable license to access and use the Services. You agree not to:

• Reverse engineer, decompile, or disassemble the software.
• Use the Services for any illegal or unauthorized purpose.
• Attempt to access other users' data, accounts, or connected integrations.
• Use AI Chat Core, AppTalk, or API MCP Studio to abuse or overload third-party APIs beyond their terms of service.
• Modify, adapt, or hack the Services or misrepresent association with the Services.
• Violate any applicable laws or regulations.

8. AI-Generated Content and Accuracy

AI Chat Core and Metrics Intelligence use artificial intelligence to generate answers, insights, and recommendations based on your connected SaaS data. While we strive for accuracy, AI-generated outputs may contain errors or inaccuracies. You should verify critical business decisions independently. apilabs.ai is not liable for decisions made based on AI-generated content.

9. Intellectual Property

All content, trademarks, and data on the Services, including software, text, graphics, logos, icons, designs, and images, are the property of API AI Company LLC or its licensors and are protected by intellectual property laws. You retain ownership of your data and any content you upload or connect through third-party integrations.

10. Data Privacy

We are committed to protecting your privacy. Our data collection and use practices are described in our Privacy Policy, which is incorporated by reference into these Terms.

11. Confidentiality

You acknowledge that during use of the Services, you may access confidential information. You agree not to disclose or use any confidential information for any purpose other than as necessary to use the Services.

12. Termination

We reserve the right to suspend or terminate your access at any time, with or without cause or notice. Upon termination, all rights granted under these Terms cease immediately, and your connected integrations will be disconnected. You may terminate your account at any time through your account settings or by contacting us.

13. Disclaimer of Warranties

The Services are provided "as is" and "as available," without warranties of any kind, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or secure, or that AI-generated insights will be accurate or complete.

14. Limitation of Liability

To the fullest extent permitted by law, API AI Company LLC will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenues, data, or goodwill, resulting from (i) your use or inability to use the Services; (ii) unauthorized access to your data or integrations; (iii) interruption or cessation of the Services; (iv) actions taken based on AI-generated content or automated workflows.

15. Indemnification

You agree to indemnify, defend, and hold harmless API AI Company LLC, its affiliates, officers, directors, employees, and agents from any claims, liabilities, damages, losses, or expenses arising from your use of the Services, your connected integrations, or your violation of these Terms.

Snowflake™ is a trademark of Snowflake Inc. apilabs.ai is not affiliated with, endorsed by, or sponsored by any of these companies. All trademarks are the property of their respective owners.

17. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, USA, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located within the State of Wyoming, USA.

18. Changes to Terms

We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting. Your continued use of the Services constitutes acceptance of the updated Terms.
